Rural Health Hub — Website Terms & Conditions of Service
Effective Date: November 23, 2025
These Terms of Service (“Terms”) govern your access to and use of the Rural Health Hub Platform (“Platform”), provided by Rural Health Hub, a division of Troy Medical, Inc. (“RHH,” “we,” “our”). By creating an account, subscribing, or using the Platform, you agree to these Terms.
If you do not agree, do not use the Platform.
1. Description of Services
The Rural Health Hub Platform provides non-clinical resources to support rural hospitals, clinics, and healthcare facilities, including:

Access to a directory of telehealth providers
-
Connection to third-party telehealth technology and services
-
Scheduling tools for reserving non-PHI appointments
-
Workflows, implementation guidance, and operational resources
-
Access to RHH’s partner network
The Platform does not store, process, or transmit Protected Health Information (PHI).
Consulting Services:
If your facility engages Troy Medical, Inc. for hands-on consulting services that may involve PHI, a separate Business Associate Agreement (BAA) and Consulting Agreement are required. These Terms apply only to Platform access.
2. Account Eligibility
By using the Platform, you represent that:

You are authorized to act on behalf of your facility

You will ensure only authorized personnel access your account

All information provided is accurate
-
You will comply with applicable laws in your use of the Platform
Sharing login credentials across facilities is prohibited.
3. Subscription & Payment

Platform access is provided on an annual subscription basis.
-
Fees are non-refundable.
-
Subscriptions automatically renew unless canceled before the renewal date.
-
Failure to pay may result in suspension of access.
You authorize us to charge your selected payment method for subscription fees.
4. No PHI; BAA Boundary
The Platform is designed without PHI and does not include clinical documentation, patient scheduling, or medical record systems.
A BAA is only required for separately contracted consulting services.
The BAA does not apply to Platform use.
5. Intellectual Property & Use Restrictions
All Platform content, including workflows, methodologies, training materials, implementation guides, software, and documentation (“Company IP”) is owned by RHH.
You may use Company IP only for internal use within your facility during your subscription.
You may not:

Copy, modify, or create derivative workas of Company IP

Provide training, consulting, or telehealth implementation services using Company IP
-
Build or support competing telehealth or rural access programs
-
Reverse engineer or attempt to obtain Platform source code
-
Share or distribute Company IP outside your organization
6. Non-Circumvention
To protect the RHH ecosystem, you agree that for three (3) years after your subscription ends, you will not:

Contract directly with any provider group, vendor, partner, or technology introduced to you through the Platform in order to bypass the Platform or avoid subscription fees

Use Company IP to replicate the services offered by RHH
-
Build or participate in any alternative referral network, distribution channel, or telehealth access solution derived from the Platform
7. Third-Party Services & Providers
The Platform connects you to third-party telehealth providers, technology vendors, and services.
RHH does not control or supervise third-party providers and is not responsible for:

Their availability, performance, actions, omissions, or clinical care
-
Third-party technology failures
-
Data breaches occurring within third-party platforms
-
Billing, credentialing, or compliance obligations associated with third-party providers
Your use of third-party services is governed by their separate terms.
8. No Clinical Responsibility
RHH does not provide medical care, diagnosis, treatment, or clinical supervision.
Your facility is solely responsible for:

Credentialing and privileging providers
-
Ensuring clinical quality and regulatory compliance
-
All medical decisions and patient care
-
Telemedicine supervision and state medical practice compliance
Nothing on the Platform creates a provider-patient relationship with RHH.
9. Technical Requirements
You are responsible for maintaining the internet connectivity, hardware, software, network security, and IT environment required to access the Platform. RHH is not responsible for performance issues caused by your internal systems.
10. Limitations of Liability
To the fullest extent permitted by law:

The Platform is provided “as is” and “as available.”

RHH disclaims all implied warranties.

RHH is not liable for indirect, incidental, special, or consequential damages.

RHH’s total liability will not exceed the amount you paid in subscription fees in the prior 12 months.
RHH is not responsible for any damages arising from third-party provider actions, technology failures, or clinical activities at your facility.
11. Termination
You may cancel your subscription at any time; cancellation becomes effective at the end of the current paid term. Fees are not refundable.
RHH may suspend or terminate access if:

You violate these Terms
-
You misuse the Platform
-
Your use creates a security or operational risk
-
Required payments are not made
Upon termination, you must discontinue all use of Company IP.
12. General Terms

These Terms constitute the full agreement for Platform access.

We may update the Terms; continued use indicates acceptance.
-
These Terms do not create a partnership, joint venture, or employment relationship.
-
Notices will be sent to the email associated with your account.
